IAG JAPAN MAY 2019 14 ウィンがクラウン・リゾーツの買収巡る協議を取り止め ウィン・リゾーツ は、豪カジノ事業者のクラウン・リゾーツを71億米ドル で買収する可能性に関する情報が漏れたことを受けて、買収への動き を中止したと語る。 4月9日に発表された文書の中でウィンの広報担当、マイケル・ウィ ーバー氏は、「準備段階の協議が中途半端に明らかになったことを受 けて、ウィン・リゾーツは一切の取引に関してクラウン・リゾーツとの協 議を全て終了した」と述べた。 ウィン撤退の前にはクラウン・リゾーツが米業界大手のウィンと内 密の協議を行っていることを認めていた。 オーストラリア証券取引所に提出した報告書の中でクラウンは、今 回の案ではウィンが50%を現金で支払い、残りの50%をウィンの株式 で支払うというスキームを通じてウィンがクラウンを買収することが提 案されていると明かした。 クラウンは現在、企業価値評価の一株当たり14.75豪ドルという取 得価格、そしてウィン株のVWAP(出来高加重平均株価)を使用して取 引合意発表直前に交換比率を固定することが提案されている。 だが、クラウンはウィンからの最新の提案をまだ検討していないこ と、そして今後の買収についてはクラウンの取締役会が推奨し、ウィン が必要な承認をすべて得ることによって決まってくると付け加えた。 クラウン・リゾーツはクラウン・メルボルンとクラウン・パースを運営 しており、現在22億豪ドルをかけて高級路線のクラウン・シドニーをバ ランガルーに建設中で、2021年の完成を予定している。同社はウィン との間ですでにいくつかの取引を行っており、2017年12月にはラスベ ガス・ストリップのウィン・ラスベガスに隣接する土地の34.6ヘクタール の区画を3億豪ドルでウィンに売却している。その土地は以前クラウン がアロン・ラスベガスという統合型リゾートの建設用に購入していた が、現在その計画は消滅している。 WYNN TERMINATES TALKS TO TAKEOVER CROWN RESORTS WYNN Resorts has ceased a pursuit of Crown Resorts after news of a potential US$7.1 billion acquisition of the Australian casino operator was leaked. In a statement released on 9 April, Wynn spokesman Michael Weaver said, “Following the premature disclosure of preliminary discussions, Wynn Resorts has terminated all discussions with Crown Resorts concerning any transaction.” Wynn’s withdrawal follows confirmation by Crown Resorts that it was in confidential discussions with the US-based gaming industry giant. In a filing to the Australian Securities Exchange, Crown revealed that the proposal suggested an acquisition of Crown by Wynn via scheme of arrangement that would see 50% paid in cash and the remaining 50% in Wynn shares. Crown Resorts operates Crown Melbourne and Crown Perth and is currently developing luxury AU$2.2 billion Crown Sydney at Barangaroo, due for completion in 2021. ThecompanyhashadsomepriordealingswithWynn, having sold the company a 34.6-hectare parcel of land adjacent to Wynn Las Vegas on the Las Vegas Strip in December 2017 for AU$300 million. The site had previously been purchased by Crown to build its now defunct integrated resort concept, Alon Las Vegas.
